Please read these Terms of Service carefully before using thinQit. By accessing or using any part of the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

How to read this page

Every section starts with a short “In short” box in simple words. These boxes help you understand the section, but they are not the legal text. The full text below each box is what counts.

1 Acceptance of Terms

In short

These are the rules for using thinQit. When you make an account or use the platform, you agree to these rules. If you do not agree, do not use the platform.

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and thinQit B.V. (“thinQit,” “we,” “us,” or “our”), governing your access to and use of the thinQit platform, including all associated applications, services, APIs, tools, AI teammates, generated content, and websites (collectively, the “Platform” or “Services”).

By creating an account, accessing the Platform, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

If you do not agree to all of these Terms, you must immediately cease use of the Platform and close your account. Your continued use of the Platform constitutes your ongoing acceptance of these Terms as they may be amended from time to time.

3 Account Registration & Security

In short

You must be 18 or older and give true information when you sign up. Keep your password secret. If someone else uses your account, tell us right away.

3.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Platform. By registering, you represent and warrant that you meet these eligibility requirements. The Platform is intended for business and professional use and is not directed at consumers or individuals under the age of 18.

3.2 Account Creation

To access most features of the Platform, you must register for an account and create a Tenant. You agree to provide accurate, current, and complete information during registration and to keep that information up to date. You may not use a false identity or impersonate any person or entity.

3.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify thinQit immediately at legal@thinqit.com upon becoming aware of any unauthorized access or use of your account. thinQit shall not be liable for any loss or damage arising from unauthorized use of your credentials.

3.4 Multi-User Accounts

If you invite additional users to your Tenant, you are responsible for ensuring that all users comply with these Terms. Each invited user must agree to these Terms independently before accessing the Platform.

4 Description of Services

In short

thinQit gives you AI tools to plan, build, and track software projects. We may change or stop parts of the service. We will try to tell you first.

thinQit provides an AI-powered SaaS platform enabling businesses to ideate, scope, build, track, and document software products and business workflows. The Platform includes, but is not limited to:

  • Codex — an AI-powered project development environment for capturing requirements, generating project scopes, producing wireframes, and coordinating development activities.
  • Compass — an AI-powered knowledge and documentation system for organizing product knowledge, screenshots, updates, and searchable records.
  • AI Teammates — specialized AI agents configured to perform domain-specific tasks such as security analysis, penetration testing simulation, QA review, customer support, and business intelligence.
  • Project Hosting — automated generation, deployment, and hosting of websites and web applications resulting from Platform Projects.
  • Security Reports — AI-generated security assessments and penetration testing reports produced by security-focused AI Teammates.

thinQit reserves the right to modify, suspend, or discontinue any feature or aspect of the Services at any time with reasonable notice. We may also impose limits on certain features or restrict access to parts of the Platform without liability.

5 Intellectual Property Rights

In short

What an AI Teammate writes for you becomes yours, as long as you follow these rules and pay your fees. We may keep using anonymous versions of it to improve our AI. Websites and apps that thinQit builds and hosts for you stay ours — you may use them while your plan is active.

5.1 Teammate Output — User Intellectual Property

All Teammate Output — meaning content, analyses, reports, recommendations, summaries, code snippets, documents, plans, and other materials generated directly by an AI Teammate in response to your instructions — is owned exclusively by you, the User. thinQit makes no claim of ownership over Teammate Output that you generate through your use of the Platform.

Subject to your compliance with these Terms and timely payment of applicable fees, thinQit hereby assigns to you all right, title, and interest in and to Teammate Output generated under your account. You may use, reproduce, modify, distribute, sublicense, and commercially exploit Teammate Output without restriction or royalty owed to thinQit.

This assignment is conditional upon your account remaining in good standing. thinQit retains a perpetual, irrevocable, royalty-free licence to use anonymised and aggregated Teammate Output for the purpose of improving its AI models and services, provided that such use does not identify you or your organisation.

5.2 Platform-Generated Assets — thinQit Intellectual Property

Websites, web applications, prototypes, hosted assets, design systems, and other digital products generated, deployed, or hosted by thinQit as part of a Platform Project (“Platform-Generated Assets”) are and shall remain the exclusive intellectual property of thinQit B.V., unless a separate written agreement between you and thinQit expressly provides otherwise.

While such assets are made available to you for use during your active Subscription, thinQit grants you only a limited, non-exclusive, non-transferable, revocable licence to use Platform-Generated Assets for the business purposes for which they were created. This licence terminates upon expiration or termination of your Subscription or upon breach of these Terms.

You acknowledge that Platform-Generated Assets may incorporate thinQit's proprietary frameworks, templates, design components, and infrastructure code. You may not reverse-engineer, decompile, disassemble, extract, or create derivative works from Platform-Generated Assets without thinQit's prior written consent.

5.3 Platform Intellectual Property

The Platform itself — including all software, source code, algorithms, models, interfaces, visual design, trademarks, brand assets, documentation, and other components — is and shall remain the exclusive property of thinQit B.V. and its licensors. Nothing in these Terms grants you any rights in or to the Platform beyond the limited licence expressly set forth herein.

5.4 Feedback

If you submit feedback, suggestions, or ideas about the Platform to thinQit, you grant thinQit a perpetual, worldwide, royalty-free, irrevocable licence to use, develop, and commercialise such feedback without obligation or compensation to you.

6 User-Generated Content

In short

Files and data you upload stay yours. You promise you are allowed to upload them. We only use them to run the service for you.

You retain all ownership rights in User Content that you upload or submit to the Platform. By submitting User Content, you grant thinQit a limited, non-exclusive, royalty-free licence to store, process, and use your User Content solely for the purpose of operating and providing the Services to you.

You represent and warrant that: (a) you own or have all necessary licences, rights, and permissions to submit the User Content; (b) the User Content does not infringe any third-party intellectual property rights; (c) the User Content does not violate any applicable law or these Terms; and (d) the User Content does not contain viruses, malware, or other harmful code.

thinQit does not endorse any User Content and disclaims all liability arising from User Content submitted by any user. thinQit reserves the right (but not the obligation) to review, refuse, or remove any User Content that violates these Terms or applicable law.

7 AI Disclaimer & Limitations

In short

AI can make mistakes. Always check its work before you use it. AI answers are not legal, medical, money, or security advice. You are responsible for what you do with them.

AI-generated outputs are probabilistic in nature. They may be inaccurate, incomplete, misleading, or inappropriate for your specific use case. You must always apply your own professional judgement before acting on any AI output.

7.1 No Guarantee of Accuracy

thinQit does not warrant that any Teammate Output or AI-generated content is accurate, complete, reliable, current, or free from errors. AI systems, including large language models and AI Teammates, are known to produce outputs that contain factual inaccuracies, logical inconsistencies, hallucinations, and biases. thinQit expressly disclaims all liability for losses, damages, or adverse outcomes arising from reliance on AI-generated content.

7.2 Not Professional Advice

Nothing generated by any AI Teammate on the Platform constitutes legal, financial, medical, security, technical, regulatory, or other professional advice. Teammate Output is provided for informational and productivity purposes only. You should consult qualified professional advisors before making any decisions that could have material legal, financial, technical, or operational consequences.

7.3 Security Assessments

Security reports and assessments generated by thinQit's security AI Teammates are provided as informational tools only. They do not constitute a comprehensive security audit, penetration test, or guarantee of security. thinQit is not responsible for any security vulnerabilities, breaches, or incidents that occur regardless of whether an assessment was or was not conducted. You should engage qualified human security professionals for critical security decisions.

7.4 Your Responsibility for AI Output Use

You are solely responsible for reviewing, verifying, and validating any Teammate Output before using it in any product, service, publication, or decision. You bear full responsibility for any actions taken or decisions made based on AI-generated content, and for ensuring that your use of Teammate Output complies with applicable laws and third-party rights.

7.5 Third-Party AI Models

The Platform may use third-party AI models and APIs (such as those provided by OpenAI, Anthropic, or other providers) to power AI Teammates. thinQit is not responsible for the outputs, availability, accuracy, or policy changes of such third-party models. Your use of the Platform is also subject to the applicable terms of those third-party providers where relevant.

8 Acceptable Use Policy

In short

Use thinQit only for legal things. Do not use it to harm people, break into systems, spread malware, or copy our platform. If you break these rules, we can close your account.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not use the Platform:

  • To transmit, generate, or store content that is unlawful, harmful, defamatory, obscene, fraudulent, or otherwise objectionable;
  • To violate any applicable local, national, or international law or regulation;
  • To infringe any intellectual property rights, privacy rights, or other rights of any third party;
  • To attempt to gain unauthorized access to any part of the Platform or to any other system, network, or account;
  • To use the Platform to conduct or facilitate real or unauthorised penetration testing, cyberattacks, or offensive security operations against any system or network without explicit written authorization from the owner of that system;
  • To scrape, crawl, or use automated means to access or collect data from the Platform beyond what is permitted by our APIs;
  • To reverse engineer, decompile, or disassemble the Platform or any AI model underlying it;
  • To introduce viruses, malware, ransomware, or other malicious code into the Platform;
  • To use the Platform in any way that could damage, disable, overburden, or impair the Platform or interfere with other users;
  • To impersonate any person or entity or to misrepresent your affiliation with any person or entity;
  • To use the Platform to generate content that facilitates violence, terrorism, illegal weapons, drug trafficking, or child exploitation;
  • To resell, sublicense, or provide commercial access to the Platform without thinQit's prior written consent.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund. thinQit reserves the right to report violations to relevant authorities.

9 Subscription, thinQs & Billing

In short

You pay for a plan every month or year. Some features cost thinQs. thinQs are not money, and we do not pay them back. If prices change in a big way, we tell you at least 30 days before. New prices start at your next renewal.

9.1 Subscription Plans

Access to the Platform is provided through Subscription plans as described on our pricing page. Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All fees are quoted exclusive of applicable taxes unless stated otherwise.

9.2 thinQs

Certain Platform features are metered by thinQs. thinQs may be purchased separately or included with a Subscription plan. thinQs have no cash value, are non-refundable, are non-transferable between Tenants, and expire as specified at the time of purchase or as noted in your plan details. thinQit reserves the right to adjust thinQ costs for Platform features with reasonable notice.

9.3 Payment

By providing payment information, you authorise thinQit to charge the applicable fees to your designated payment method. If your payment fails, thinQit may suspend your account. You are responsible for keeping your payment information current and accurate.

9.4 Refunds

Subscription fees are generally non-refundable except where required by applicable law, or at thinQit's sole discretion. If you believe you have been charged in error, contact legal@thinqit.com within 30 days of the charge.

9.5 Price Changes

thinQit reserves the right to change Subscription prices at any time. Price changes will take effect at the next renewal of your Subscription. We will provide at least 30 days' notice of material price changes via email or in-platform notification.

10 Confidentiality

In short

We keep your business secrets safe, and you keep ours. We only share them when the law says we must.

Each party acknowledges that it may receive or have access to information of the other party that is confidential or proprietary (“Confidential Information”). Confidential Information includes but is not limited to: business plans, technical data, financial information, product roadmaps, customer information, and any information that a reasonable person would consider confidential given the circumstances of disclosure.

Each party agrees to: (a) keep all Confidential Information strictly confidential; (b) use Confidential Information only for the purposes of performing its obligations under these Terms; and (c) not disclose Confidential Information to any third party without the prior written consent of the disclosing party, except as required by applicable law.

These obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party prior to disclosure; (c) is independently developed without use of the Confidential Information; or (d) is required to be disclosed by law, regulation, or court order, provided that the receiving party gives prompt prior written notice where permitted.

11 Third-Party Integrations

In short

You can connect other tools to thinQit. Those tools have their own rules, and we are not responsible for them.

The Platform may allow you to connect third-party services, APIs, and tools (“Third-Party Services”). Your use of Third-Party Services is governed solely by the terms and privacy policies of those third parties. thinQit has no control over Third-Party Services and is not responsible for their availability, security, accuracy, or compliance.

By connecting a Third-Party Service, you authorise thinQit to access and transmit your data to that service as necessary to provide the integration. You are responsible for ensuring that any such integration complies with applicable law, including data protection regulations.

12 Data Protection & Privacy

In short

We handle personal data as our Privacy Policy explains. If you put other people's data in the platform, you are responsible for it. Do not upload sensitive data, like health data, without a data agreement with us.

thinQit processes personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the processing of your personal data as described therein.

If you are using the Platform to process personal data of third parties (such as your customers or employees), you are the data controller for such data and are responsible for ensuring that your processing activities comply with applicable data protection laws, including the GDPR where applicable. thinQit acts as a data processor in such circumstances, and the parties shall enter into a Data Processing Agreement as required.

You must not upload sensitive personal data — including health data, biometric data, criminal conviction data, or data relating to children — to the Platform without first obtaining a Data Processing Agreement from thinQit.

13 Indemnification

In short

If someone takes legal action against us because of something you did — like breaking these rules or uploading content you do not own — you pay those costs, not us.

You agree to indemnify, defend, and hold harmless thinQit B.V. and its directors, officers, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of or access to the Platform;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your User Content;
  • Any decisions made or actions taken based on Teammate Output;
  • Infringement of any third-party right, including intellectual property or privacy rights.

thinQit reserves the right, at its own expense, to assume exclusive control of any matter subject to indemnification by you, in which event you will cooperate with thinQit in asserting any available defences.

14 Disclaimers of Warranty

In short

We give you the platform “as is”. We cannot promise it will always work or be free of errors.

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, thinQit expressly disclaims all warranties, express or implied, including but not limited to: implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. thinQit does not warrant that:

  • The Platform will be uninterrupted, error-free, or free of viruses or other harmful components;
  • Any Teammate Output will be accurate, complete, reliable, or suitable for your purposes;
  • The Platform will meet your specific requirements or expectations;
  • Any defects will be corrected;
  • The Platform is free of security vulnerabilities.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you in full.

15 Limitation of Liability

In short

If something goes wrong, there is a cap on what we pay: at most what you paid us in the last 12 months, or €100 if that is more. We do not pay for things like lost profit or lost data.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THINQIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

This includes but is not limited to: loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, cost of substitute services, or any other commercial or economic losses, even if thinQit has been advised of the possibility of such damages.

In no event shall thinQit's total cumulative liability to you for all claims arising out of or related to these Terms or your use of the Platform exceed the greater of: (a) the total fees paid by you to thinQit in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) €100 EUR.

These limitations apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether thinQit has been advised of the possibility of such damages.

Some jurisdictions do not permit the limitation or exclusion of liability for certain types of damages, so some of the above limitations may not apply to you.

16 Term & Termination

In short

You can close your account at any time. We can close it if you break the rules or do not pay. After it closes, you lose access and we may delete your data.

16.1 Term

These Terms commence on the date you first access the Platform and continue until terminated in accordance with this section.

16.2 Termination by You

You may terminate your account at any time by contacting legal@thinqit.com or by using the account deletion feature in your settings. Termination does not entitle you to a refund of any prepaid fees.

16.3 Termination by thinQit

thinQit may suspend or terminate your access to the Platform immediately, without notice or liability, if: (a) you breach these Terms; (b) your account has been inactive for an extended period as notified; (c) you fail to pay applicable fees; (d) we are required to do so by law; or (e) we reasonably believe continued access would cause harm to the Platform, other users, or third parties.

16.4 Effect of Termination

Upon termination: (a) your right to access and use the Platform immediately ceases; (b) all licences granted to you terminate; (c) thinQit may delete your account and associated data in accordance with our data retention policy; (d) provisions of these Terms that by their nature should survive termination shall do so, including Sections 5, 7, 10, 13, 14, 15, and 17–20.

17 Dispute Resolution

In short

If you have a problem with us, e-mail us first. We get 30 days to try to fix it. After that, a court can decide. You cannot join a class action against us.

Before initiating any formal legal action, you agree to first attempt to resolve any dispute with thinQit informally by contacting us at legal@thinqit.com and allowing at least 30 days for us to attempt to resolve the issue.

If a dispute cannot be resolved informally, you and thinQit agree to submit to the exclusive jurisdiction of the competent courts as specified in Section 18. You waive any right to participate in a class action lawsuit or class-wide arbitration against thinQit.

18 Governing Law

In short

Dutch law applies to these Terms. Disputes go to the court in Amsterdam, unless consumer law in your country says otherwise.

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law principles. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands, unless otherwise required by applicable consumer protection law in your jurisdiction.

19 Modifications to Terms

In short

We can change these Terms. We will tell you about big changes. If you keep using the platform after a change, that means you accept it.

thinQit reserves the right to modify these Terms at any time. We will provide notice of material changes by: (a) sending an email to the address associated with your account; (b) posting a notice on the Platform; or (c) updating the “Effective Date” at the top of this page.

Your continued use of the Platform after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform and close your account before the effective date of the change.

20 General Provisions

In short

Some final rules: these Terms are the whole agreement between us. If one part turns out to be invalid, the rest still counts. We are not to blame for events outside our control, like natural disasters.

20.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and thinQit regarding the Platform and supersede all prior agreements or understandings.

20.2 Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

20.3 Waiver

thinQit's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

20.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without thinQit's prior written consent. thinQit may freely assign its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets.

20.5 Force Majeure

thinQit shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemics, government actions, or failures of third-party infrastructure.
