1Definitions
This part explains the words we use, like Service, Customer, and User.
Service means the thinQit SaaS platform, AI teammates, admin and user interfaces, and related features.
Customer means the legal entity entering into an agreement with thinQit. User means any natural person accessing the Service on behalf of the Customer.
2Applicability and formation
These rules apply to everything thinQit delivers to your organization, unless we agree on something else in writing.
These terms apply to all offers, agreements, and deliveries by thinQit unless the parties agree otherwise in writing.
Customer purchasing terms are rejected. If documents conflict, the order form prevails, followed by teammate statements of work, data processing terms, billing terms, AI and acceptable-use terms, and these terms.
3Service, account, and license
Your organization may use the platform while the contract runs. It manages its own users and is responsible for what they do.
thinQit grants the Customer a non-exclusive, non-transferable right to use the Service during the contract term.
The Customer manages users, roles, and permissions and remains responsible for activity performed through its accounts.
4Subscription, pricing, and payment
The order form shows what you pay. Prices are in euros, without VAT. You pay through Stripe within 14 days.
Subscription fees, active-teammate fees, and add-ons are specified in the order form. Unless stated otherwise, amounts are in euros and exclude VAT.
Billing is handled through Stripe. Payment is due within 14 days unless agreed otherwise.
5Acceptable use and AI terms
Follow the usage rules shown in the platform. AI can make mistakes, so a person must check AI output before using it for important decisions.
Customer and Users must comply with the acceptable-use and AI product terms shown in the platform.
AI output can be incomplete or incorrect. Customer must apply suitable human review before using output for legal, financial, medical, hiring, or other high-impact decisions.
6Data, privacy, and security
Your data stays your data. It is not used to train general AI models, and it is protected with strong security.
Customer is controller for customer data placed in the Service. thinQit acts as processor where it processes that data on Customer's behalf.
thinQit does not train general AI models on customer data. Security measures include encryption, role-based access, MFA support, logging, and continuous monitoring.
7Intellectual property
The platform belongs to thinQit. Your data belongs to you.
All intellectual property rights in the platform, AI teammates, prompt libraries, templates, UI, and code remain with thinQit or its licensors.
Customer data remains Customer property. Customer grants thinQit the rights necessary to provide the Service.
8Liability
If something goes wrong, there is a cap on what thinQit pays: the fees from the last six months, up to EUR 50,000 per contract year.
thinQit's liability per contract year is limited to fees actually paid by Customer in the preceding six months, capped at EUR 50,000.
Indirect loss, lost profit, reputational harm, data loss, and damage caused by unreviewed AI output are excluded to the fullest extent permitted by law.
9Term, termination, and export
The contract runs for the agreed period. After it ends, you have 30 days to export your data. Then it is deleted.
The agreement runs for the term in the order form and renews unless terminated in accordance with that order form.
After termination, Customer can export data for 30 days. Customer data is then deleted in accordance with the data processing terms unless retention is legally required.
10Governing law and contact
Dutch law applies. Disputes go to the court in Utrecht. Questions? Send us an e-mail.
